L’avènement d’une procédure collective conduit très souvent à envisager la cession des éléments de l’entreprise parmi lesquels les contrats qui en sont les piliers. Le droit français, conscient de l’importance des contrats autorise leur cession autoritaire en vue de favoriser le redressement et ce au détriment de la relativité chère à toute convention. Cette résolution ne fut pas celle du droit OHADA qui soucieux de respecter les principes contractuels n’envisage la cession des contrats que dans un cadre conventionnel. Pourtant, la cession purement conventionnelle n’est pas la solution la plus profitable car les créanciers de l’entreprise peuvent s’opposer sans fondement à la cession de leur contrat dans le but d’entraver le redressement de l’entreprise. C’est la raison pour laquelle il serait judicieux d’envisager une cession judiciaire aménagée conciliant le respect du contrat et l’objectif du redressement. The advent of a collective procedure leads very often to envisage the transfer of the elements of the company among which the contracts which are pillars. The French law, conscious of the importance of contracts, authorizes their authoritarian transfer to facilitate the recovery of the company and it to the detriment of the relativity important to any agreement. This resolution was not the one of the OHBLA law which in order to respect the contractual principles, envisages the transfer of the contracts only throught a convention. Nevertheless, the purely conventional transfer is not the most profitable solution because the creditors of the company can oppose unfounded in the transfer of their contract with the aim of hindering the recovery of the company. It is the reason for which it would be sensible to envisage a judicial transfer fitted out reconciling the respect for the contract and the objective of the recovery.
