The study aims to find out how the provisions of the law are in violation of brand rights to nongender products and their protective forms, as well as how legal efforts should be made in violation of their laws. Legal protection for legitimate brands' owners is regulated within brand laws intended to give their owners exclusive rights. Legal measures that rights holders can make on broken brands can be made either by civil law or criminal law. Indonesia's brand registration system is a constituent system, and it is recommended that all efforts be quick to register a trademark or service brand for the creditor of intellectual property rights. The holding of a brand would be wise to appeal to the court immediately if there is any indication that a brand offense is committed by another and the cost is not greater.

This article argues for a fundamental raison d'être reconceptualization of international investment law (IIL) through Martha Fineman's 'vulnerability theory'. The theory helps identify the structural sources of IIL's shortcomings, whilst philosophically challenging the one-sided view that foreign investors are entitled to protections, but are free from obligations vis-à-vis the communities affected by their undertakings. Emphasizing the productive power of the state to take positive action that acknowledges ordinary citizens' embeddedness within, and dependence upon, surrounding structures, the vulnerability theory challenges the hegemonic perception of the state as a source of danger - a view which has hitherto undermined both the potency and the enforceability of investor obligations. Used as a heuristic device in studying both IIL's existing structures and the potential avenues for reimagining it, Fineman's theory not only shines a novel light on the foundational premises of IIL, but also grants theoretical traction to existing ideas about improving the system.

The interpretation of treaties is particularly important in the field of treaty law, as in most cases it is not possible to apply treaties without their interpretation. In addition to the text and context of the treaty, the relevant rules of international law, including the general principles of law, can play an important role in the interpretation of treaties. A treaty is a creation of the international legal system, and its interpretation and implementation should be carried out within the context of the legal system that governs it. The main question to which this research intends to answer is: What is the position of general principles of law in the interpretation of treaties? It seems that the use of general principles of law in the interpretation of treaties can reduce the potential fragmentation of international law and promote its coherence. In this research, by using library sources, international documents and international judicial decisions and arbitration awards and using a descriptive-analytical method, the position of general principles of law in the interpretation of treaties will be examined.

L’ordre juridique est un espace qui comprend de nombreux éléments constituant ses zones grises. On y retrouve notamment le vide juridique, les antinomies, et les situations de non-respect du droit entérinées par les phénomènes de tolérance et de régularisation. Ces éléments révèlent le caractère complexe, mais également la force autorégulatrice du système juridique, qui fait montre d’adaptation et d’acceptation des zones grises, comme composantes de l’espace normatif. Dans ce sens, le discours objet apparait comme un espace dans lequel certaines hypothèses ne sont pas expressément prévues d’avance. Cependant les normes juridiques, même supposées non-existantes du fait du vide normatif, sont en réalité latentes et dévoilées lorsque l’occasion impose cette opération. En outre, le droit par le mécanisme de tolérance juridique, ou du fait du recours aux régularisations, à tendance à rendre valide certains actes normalement irréguliers qui ont créés des effets juridiques. Pour ces deux cas de figure, l’opportunité de la décision à prendre apparait comme le fil conducteur qui fondera a posteriori la validité des actes concernés. L’incomplétude, la tolérance juridique et la régularisation sont ainsi des facteurs qui relèvent le fait que le système juridique est un espace qui comprend des zones grises. The legal order is a space that includes many elements that constitute its gray areas. We find in particular the legal void, the contradictions, and the situations of non-respect of the law confirmed by the phenomena of tolerance and regularization. These elements reveal the complex nature, but also the self-regulating force of the legal system, which shows adaptation and acceptance of gray areas, as components of the normative space. In this sense, the object discourse appears as a space in which certain hypotheses are not expressly planned in advance. However, legal norms, even supposedly non existent because of the normative vacuum, are in reality latent and revealed when the occasion requires this operation. In addition, the law through the mechanism of legal tolerance, or because of the use of regularizations, tends to render valid certain normally irregular acts which have created legal effects. For these two scenarios, the appropriateness of the decision to be taken appears to be the common thread which will subsequently establish the validity of the acts concerned. Incompleteness, legal tolerance and regularization are thus factors that highlight the fact that the legal system is a space that includes gray areas.

L’Union Economique et Monétaire Ouest Africaine (UEMOA), en tant qu’organisation internationale, a été consacrée dans la Zone Franc en vue d’atteindre des objectifs de développement économiques et sociaux. Dans le but de créer entre eux une Union Economique d’une part, et un espace juridique uniforme d’autre part, les auteurs respectifs des traités de Dakar, a institué des communautés supra nationales dotées d’attributions propres et de pouvoirs réels découlant du transfert de souveraineté de leurs États membres. Il est évident que l’intégration juridique est un support non négligeable de l’intégration économique. The West African Economic and Monetary Union (UEMOA), as an international organization, was established in the Franc Zone with a view to achieving economic and social development objectives. With the aim of creating between them an Economic Union on the one hand, and a uniform legal space on the other hand, the respective authors of the Dakar treaties, established supranational communities endowed with their own attributions and real powers arising from the transfer of sovereignty of their member states. It is obvious that legal integration is a significant support for economic integration.

Le droit communautaire de l’OHADA prévoit un ensemble de règles propres à la restructuration d’entreprise qui peut prendre la forme d’une fusion, d’une scission ou d’un apport partiel d’actif. Ces opérations entraînent, pour la plupart, la dissolution sans liquidation des sociétés qui disparaissent, la transmission universelle de leur patrimoine aux sociétés bénéficiaires ainsi que l’acquisition par les associés des sociétés qui disparaissent, de la qualité d’associés des sociétés bénéficiaires. En principe, les conséquences fiscales applicables sont celles de la cessation d’entreprise, avec un coût fiscal dissuasif. Afin d’alléger les conséquences fiscales de telles opérations, il a été mis en place un régime fiscal de faveur propre à permettre la prise en compte du caractère intercalaire de telles opérations en leur faisant bénéficier d’une neutralité fiscale. OHADA Community law provides for a set of rules specific to the restructuring of a company which may take the form of a merger, a division, or a partial contribution of assets. These operations lead, for the most part, to the dissolution without liquidation of the companies that disappear, the universal transfer of their assets to the beneficiary companies and the acquisition by the members of the companies that disappear of the status of partners of the beneficiary companies. In principle, the applicable tax consequences are those of the cessation of business, with a dissuasive tax cost. To reduce the tax consequences of such transactions, a favorable tax regime has been set up to allow the intercalary nature of such transactions to be considered by allowing them to benefit from fiscal neutrality.

La question de la prise en compte de l’acte gratuit en droit commercial se pose nécessairement à nous. En effet, le droit commercial est caractérisé par l’esprit du lucre. L’intention de réaliser un profit est l’essence voire l’âme du droit commercial. Pourtant, aujourd’hui, en marge de la logique spéculative de ce droit, l’on constate la prise en compte de la gratuité en matière commerciale. L’acte gratuit qui serait en dehors du champ commercial est bien présent dans le champ commercial. D’ailleurs, l’analyse de l’arsenal juridique africain encadrant le commerce révèle une diversité de sources légales (nationales comme communautaires) l’admettant. Il y a alors une possible conciliation entre la gratuité et le droit commercial. Mais le législateur, conscient du caractère suspect et parfois dangereux de la gratuité, a prévu des mécanismes stricts de contrôle. The question of taking into account the gratuitous act in commercial law necessarily arises for us. Indeed, commercial law is characterized by the spirit of profit. The intention to make a profit in the essence and even the soul of commercial law. However, today, on the sidelines of the speculative logic of this right, we see the taking into account of gratuity in commercial matters. The gratuitous act which would be outside the commercial fiel is indeed present in the commercial field. Moreover, the analysis of the African legal arsenal governing trade reveals a diversity of legal sources (national and community) admitting it. There is then a possible reconciliation between gratuity and commercial law. But, the legislator, aware of the suspicious and sometimes dangerous nature of free admission, has provided for strict control mechanisms.

En droit de l’OAPI, les actifs industriels non enregistrés bénéficient d’une protection qui varie selon qu’elle opère contre les atteintes de droit ou contre les atteintes de fait. Dans le premier cas, des garanties spécifiques sont instituées différemment en fonction de la nature des créations considérées. Vis-à-vis des actifs proprement industriels, des prérogatives originelles sont reconnues au créateur. Celui-ci bénéficie non seulement d’un droit exclusif à l’enregistrement, mais surtout d’un droit de propriété qui précède l’enregistrement. À l’égard des actifs à vocation commerciale, des droits privatifs fondés sur leur exploitation sont consacrés. On observe ainsi une privatisation de la marque notoire au profit de l’exploitant, tandis que le nom commercial est réservé au premier usager. Dans le second cas, si les actifs industriels non enregistrés font l’objet d’une protection dérivée à travers la répression de la concurrence déloyale, ils demeurent cependant vulnérables à la contrefaçon. Cette vulnérabilité traduit malheureusement une incohérence dans le système de protection de la propriété industrielle de l’OAPI à laquelle il conviendrait de remédier.

En vue de rendre plus attractif le droit africain des sûretés, le législateur de l’Oganisation pour l’Harmonisation en Afrique du Droit des Affaires (OHADA), depuis l’adoption de l’Acte Uniforme Portant organisation des Sûretés (AUS) en 1998 en passant par la réforme de 2010, a toujours pris en compte l’apport des tiers dans le mécanisme de constitution et de réalisation des sûretés. C’est dans ce sens qu’il a rendu nécessaire la contribution des témoins certificateurs pour la validité du cautionnement. L’intervention de ces tiers se justifie par l’illettrisme et l’incapacité physique de la caution concernée, l’objectif étant d’assurer à cette dernière un engagement libre et exempt de tout vice. Cette participation est traduite par la confirmation de l’identité et de la présence de ladite caution et surtout l’affirmation après vérification, de ce que celle-ci s’engage en toute connaissance de cause. Pour renforcer cette mission, le législateur a consacré un certain nombre de moyens civils et répressifs visant à sanctionner la défaillance des témoins certificateurs. L’insuffisance de ceux-ci commande à l’avenir de réduire la qualité de témoin certificateur aux seuls professionnels du droit, ce qui pourra justifier l’aggravation des sanctions à leur encontre en cas de faute. In order to make african secureties law more attractive, the Organization for the Harmonization of Busness Law in Africa legislator, from the adoption of the Uniform Act of 1998 organizing Secureties to the 2010 reform, has always taken into consideration the contribution of third parties in the mechanism of creation and realization of secureties interests. In this sense, the contribution of certifiers witnesses is necessary for the validity of the bond. The intervention of these third parties is due to the illiteracy and physical incapacity of the guarantor concerned and with the aim of ensuring him an free commitment. By confirming it identity, it presence and also the confirmation after checking, that he understands the nature and the effects of the opération. This mission is reinforced by the consecration of a certain number of repressive measures in case of failure of the certifiers witnesses. However, it seems appropriate to further strengthen the protection of the illiterate guarantor by reducing the quality of certifier witness to the people who practice professions related to the law. This will justify the aggravation of the sanctions against these professionals in case of misconduct.

Le droit OHADA de l'arbitrage contient tous les ingrédients pour dissuader l’intervention du juge dans la procédure arbitrale soulevée par les plaideurs les plus récalcitrants. Face aux principes d’autonomie et de force obligatoire de la convention d’arbitrage, l’article 13 de l’Acte uniforme relatif au droit de l’arbitrage pose une obligation d’abstention à la charge du juge étatique à chaque fois qu’il est saisi d’un litige ayant déjà fait l’objet d’une compromission. À moins que la convention d’arbitrage soit manifestement nulle ou manifestement inapplicable, le juge étatique doit s’abstenir de toute intervention. Toutefois, en dépit du principe d’autonomie et de force obligatoire de la convention d’arbitrage, l’absence d’imperium qui caractérise la vie du tribunal arbitral nous amène à relativiser la posture de neutralité dont le juge étatique est contraint d’adopter. Ce dernier, dans le respect de la primauté reconnue à l’arbitre, se verra ponctuellement reconnaître le pouvoir d’assister l’arbitrage.

La présomption d’innocence s’apprécie au regard de l’ensemble de la procédure contentieuse partant de la procédure contradictoire où le pouvoir de l’administration demeure très large jusqu’au stade judicaire du litige au cours duquel le juge reprend les reines et impose son pouvoir de contrôle des actes de l’administration et de protection des droits fondamentaux.

Criminal responsibility for corporate related human rights violations is a challenging and complex question in today’s world, this is partly because of the individual or personal character of criminal responsibility. It is held as a general rule that only human beings can commit offences. The primary objective of this research is to critically examine the human rights aspects of corporate criminal responsibility of companies in Cameroon. The conducts of business by various corporations in Cameroon are recognized as an impetus to economic, social, cultural and political advancement. With the rise in corporate crimes in the world today, the question has been whether a corporate body can be held liable for corporate crimes or not. The paper answers in the affirmative that a corporate body can be subject to criminal prosecution and liability for crimes occurring within the corporation especially in the domain of human rights. Considering that a corporate body cannot be imprisoned, or punished like an individual, there are ways to punish a corporation. A corporate body may be fined, ban, closed placed under judicial supervision for a specified period of time. With this in mind, the paper analyses the concept of corporate criminal liability with specific regards to corporate capacity, the basis upon which such liability attaches to a corporation and sanctions with the aim of illustrating the weaknesses of the different aspects trundled-out above.

Private investors’ land rights vary from country to country, depending on the legal system in place. The degree of openness of land laws determines the degree to which both domestic and foreign investors are attracted, as the latter aims to invest in countries with legal systems offering the most secure and sustainable interests. How can Congolese land laws be made more attractive to private investors in the real estate sector? Using exegetical and comparative methods, we will test our hypothesis that reform to increase the rights of private national and foreign investors to access land would be an asset. By comparing Congolese land law with other legal systems, and with current social and economic realities, we have concluded that accommodating land rights is a prerequisite for increasing both domestic and foreign private investment in real estate and an essential step towards boosting and modernizing real estate investment in the DRC.

Le législateur OHADA a importé les formes françaises de sociétés commerciales. Il a, cependant, omis d’introduire dans son acte uniforme de 1997 sur les sociétés commerciales, la société par actions simplifiée connue en France depuis 1994. Toutefois, conscient de l’incapacité des formes sociétaires initialement créées à répondre aux exigences de flexibilité des entrepreneurs africains, il entreprend en 2014 une réforme qui a donné naissance à une nouvelle forme de société au caractère hybride : La SAS qui cumule la puissance financière des sociétés par actions et une liberté conventionnelle quasi absolue. Le souci étant de faciliter aux entrepreneurs africains la création d’une société plus flexible, adaptée à leur statut. L’objectif de la recherche vise à permettre aux entrepreneurs de connaitre la physionomie de la SAS et de démontrer qu’à travers cette société, le législateur OHADA assouplit les principes de gouvernance sociétaire en consolidant conjointement les droits des associés. Ainsi, la SAS se caractérise par une spécification statutaire extensible et une personnalisation spécifiée. Dans cette dynamique il faut cependant, signaler qu’en dépit des avantages qu’elle présente, la société par actions simplifiée de l’OHADA reste encore pratiquement méconnue et non adoptée par la plupart des entrepreneurs africains et particulièrement sénégalais.

Le sous-traitant est une personne physique ou morale à qui le cocontractant de l'administration confie tout ou une partie du marché sous sa responsabilité. Bien qu'il soit en relation contractuelle avec le titulaire du marché, il interagit avec de nombreuses autres personnes au cours du processus d'exécution du contrat. Une question a été posée de savoir qui peut engager la responsabilité du sous-traitant en droit camerounais. Il est établi que sa responsabilité peut être engagée soit par le titulaire principal du marché, soit par des tiers ayant subi un dommage du fait de l’exécution du contrat de sous-traitance. The sub-contractor is a natural or legal person to whom the contractor of the administration entrust all or part of the contract under his responsibility. Although under the contractual relationship with the contract holder, he interacts with many other people during the process of execution of the contract. A question was asked as to who can hold the sub-contractor liable under cameroonian law. It is established that liability may be incurred either by the contract holder or by the third parties having suffered damage as a result of execution of the subcontracting contract.

Malgré l’adoption des instruments juridiques internationaux, en plus des législations nationales, la discrimination et la violence à l’égard des femmes, sont profondément ancrées dans nos sociétés, elles sont persistantes et systématiques. Or dès son préambule, la Déclaration universelle des droits de l'homme évoque des droits égaux et inaliénables de tous les membres de la famille humaine et affirme que tous les êtres humains naissent égaux en dignité et en droit. Ces mêmes principes sont repris au préambule du Pacte relatif aux droits économiques, sociaux et culturels et dans celui du Pacte relatif aux droits civils et politiques. Despite the adoption of international legal instruments, in addition to national legislation, discrimination and violence against women are deeply rooted in our societies, they are persistent and systematic. However, from its preamble, the Universal Declaration of Human Rights evokes the equal and inalienable rights of all members of the human family and affirms that all human beings are born equal in dignity and rights. These same principles are repeated in the preamble of the Covenant on Economic, Social and Cultural Rights and in that of the Covenant on Civil and Political Rights.

La douane est une administration chargée d’établir et de percevoir les droits imposés sur les marchandises à la sortie ou à l’entrée du territoire du pays. Au Mali, le libéralisme économique de la deuxième république a engendré des reformes tant sur le plan organisationnel que structurel et de profonds changements dans la philosophie et dans la conception du tarif des douanes. L’assouplissement des procédures douanières et les facilités particulières dans l’octroi des régimes économiques matérialisent ce changement. Force est de constate sur le plan légal et réglementaire, on assista d’une part à la relecture du Code des Douanes et d’autre part à la reforme tarifaire. Ainsi dans cet article, nous faisons une analyse critique des textes réglementaires en vigueur afin de proposer des pistes de solution pour une douane plus efficace et plus performante.

Cette étude ambitionne de mettre en exergue le principe de bonne foi, qui est au cœur des procédures collectives de l’Organisation pour l’Harmonisation en Afrique du Droit des Affaires (OHADA). L’existence de ce principe est déductible en filigrane au regard de l’existence de nombreuses prescriptions, restrictions, interdictions et surtout du fait de l’existence des sanctions. À ce titre, au rang des acteurs ayant un rôle prépondérant dans la mise en œuvre des procédures collectives, figure en bonne place celui du débiteur. Ainsi, la question de la protection de la bonne foi de ce dernier ne cesse de se poser avec acquittée. De ce fait, des analyses sur les mécanismes existants destinés à parvenir à cette finalité demeure riche d’intérêt. Tout compte fait, cette étude nous révèle qu’il existe des mesures de protection de la bonne foi en dépit des écueils qui entament son efficacité, et qu’en cas de comportements constitutifs de mauvaise foi, les personnes ayant subi un préjudice doivent pouvoir poursuivre le débiteur afin d’être rétablir dans leurs droits. This study aims to show that the principle of good faith which is at the heart of the collective proceeding of the Organization of Harmonization of Business Law in Africa (OHADA). The existence of this principle is implicitly deductible with regard to the existence of numerous prescriptions, restrictions, prohibitions and especially because of the existence of sanctions. As such, among the actors having a predominant role in the implementation of collective procedures, figures prominently that of the debtor. Thus the question of the protection of good faith of the latter does not cease to arise with acquitted. As a result, analyzes of the existing mechanisms intended to achieve this end remain rich in interest. All in all, this study reveals to us that there are measures to protect good faith despite the pitfalls that undermine its effectiveness and that in the event of behavior constituting bad faith, those who have suffered damage must be able to sue ole debtor in order to be restored to their right.

Nous pouvons dire aujourd’hui que la lutte contre la fraude fiscale est effective dans la mesure où le renforcement des conventions non seulement sur le plan communautaire mais aussi le renforcement des conventions entre le Mali et beaucoup d’autres États. En effet, il faut reconnaitre que sur le plan de la sanction pénale en matière de la fraude fiscale le juge malien est largement en retard par rapport à son homologue français qui a rendu une multiplicité des décisions relations aux sanctions pénales en matière de la fraude fiscale.
