La thèse propose une analyse de l’influence du droit français et de l’UE de la concurrence sur celui des pays en voie de développement en s’appuyant sur une étude du cas marocain ainsi que d’autres pays arabes. Au niveau mondial, le droit de la concurrence est actuellement dominé par deux régimes : le premier est américain, le second est européen. Dans ce contexte, les pays en voie de développement qui souhaitent adopter un régime de droit de la concurrence ou réformer celui préexistant se tournent naturellement vers l’un de ces deux modèles dominants. En s’appuyant sur l’expérience européenne en matière du droit de la concurrence, le Maroc et d’autres pays arabes ne dérogent pas à cette règle. Par conséquent, il devient nécessaire de s’interroger sur la logique d’un tel phénomène. En s’appuyant sur une étude du cas marocain, cette recherche tend, dans un premier temps, à identifier non seulement comment le phénomène d’influence se manifeste mais également les facteurs lui permettant de prendre place. En procédant de la sorte, l’objectif est de révéler, dans un second temps, si une telle influence est en ligne avec les besoins d’un pays en voie de développement comme le Maroc. This research focuses on the influence of EU competition law on developing countries by taking Morocco and other Arabic countries as a case study.On the world stage, the field of competition law is currently dominated by two main regimes: one is American, the other is European. In this context, developing countries intending to acquire a sound competition regime naturally turn to one of the dominant models. Morocco as a developing country, do not derogate from this rule and rely on the European experience so that it seems relevant to wonder whether this phenomenon could somehow be questioned.This dissertation has two folds. By taking Morocco as case study, the Thesis investigates first not only how does this influence manifest itself but also the factors allowing it to take roots. Second, it critically assesses whether such influence is in line with the needs of developing countries such as Morocco.

Dans une économie globalisée actuelle, où l’environnement entrepreneurial est défini comme incertain et turbulent, les entreprises choisissent les stratégies de coopétition pour avoir des avantages et performances. Mais, selon la littérature spécialisée, si les avantages et les performances, sont mis en avant pour justifier la pertinence des stratégies de coopétition, la notion d’opportunisme du partenaire est elle aussi largement investie et identifiée par des recherches comme un frein à la coopétition. C’est de cette façon, qu’on peut constater dans cette littérature, deux thèses différenciées qui caractérisent les analyses sur la coopétition ; une relation entre concurrents, source de performances hors normes et une relation fragile et instable à tout instant, à raison de l’opportunisme présumé du partenaire. L’opportunisme du partenaire s’avère particulièrement problématique en ce qu’il conduirait à limiter les performances et avantages attendus de la coopétition. L’objectif de cette recherche est d’établir un lien entre la performance de la coopétition et le capital social. Partant de l’opportunisme du partenaire, nous avons posé que la performance d’une coopétition est fonction de deux préalables : la réduction de l’opportunisme et l’augmentation de l’engagement des acteurs en relation. Une étude empirique est menée auprès des coopétitions des TPE minières exploitant le diamant au Kasaï, en République Démocratique du Congo. Une méthodologie qualitative permet le recueil des données par entretiens semi-directs, puis l’exploitation des termes des discours en se servant de l’outil lexicometrique, « Iramuteq ». L’objectif est de repérer les éléments déterminés de manière théorique, et qui traduisent soit les enjeux de la coopétition pour les TPE d’un environnement difficile, soit la pertinence du capital social dans la performance de la coopétition. Des liens établis entre la réduction de l’opportunisme, l’augmentation de l’engagement et les avantages tirés de la coopétition avec le capital social, constituent l’apport de cette recherche. Apport qui concerne les connaissances tant en management de la coopétition, que relatives aux TPE de contexte difficile. La variable-clé, « opportunisme » du partenaire, est la source du lien constaté entre la performance de la coopétition et le capital social. La logique suivie se décline en réponse aux interrogations formulées dans la littérature par différents auteurs au sujet de l’opportunsme qui conduit à la fragilité et à l’instabilité de la coopétition. Ce qui nous autorise de formuler un modèle vertueux de la performance de la coopétition par le capital social. A l’issu de notre étude empirique, une discussion sur des implications managériales est menée, aboutissant à une forme spécifique de coopétition mobilisant deux niveaux de réseau et des préconisations sont envisagées. In today’s global economy, where the entrepreneurial environment is defined as uncertain and turbulent, companies choses coopétition strategies to have advantage and performance. But, according to the specialized literature, if the advantage and the performance are highlighted to justify the relevance of the strategies of coopetition, the notion of opportunism of the partner is also widely invested and identified by research as a brake on coopetition. It is in this way that we can see in this literature two differentiated theses which goods the analyses on coopetition; a relationship between competitors, a source of exceptional performance and a fragile and unstable relationship at all times, on account of the supposed opportunism of the partner. The opportunism of the partner is particularly problematic in that it would lead to limiting the performance and advantages from expected coopetition. The aim of the research is to establish a link between the performance of coopetition and social capital. Based on the opportunism of the partner, we have posited that the performance of a coopetition depends on two prerequisites: the reduction of opportunism and the increase in the commitment of the actors in relationships. Year empirical study is being carried out on the coopetition of very small mining companies of diamond in kasaï in Democratic Republic of Congo. A qualitative methodology allows the collection of data by semi direct interviews and the operation of the terms of speech using the lexicon metric tool “Iramuteq”. The objective is to identify the theoretically determined elements, which reflect either the stakes of coopétition for very small mining companies in a difficult environment or the relevance of social capital in the performance of coopetition. The link between the reduction of opportunism, the increase in commitment and the advantages of coopetition with social capital are the contribution of the research, contribution that concerns the knowledge both in management if coopetition, and relating to the very small mining companies of difficult context. The key variable “opportunism” of the partner is the source of the link between the performance of coopetition and social capital. The logic followed us in response to the questions raised in the literature by different authors about the risk of opportunism that leads to the fragility and instability of coopetition. This allows us to formulate a virtuous model of the performance of coopetition through social capital. At the end of our empirical study, a discussion on managerial implications is conducted; leading to a specific form of coopetition invoicing two levels of network and recommendations are envisaged.

Identifiés comme acteurs politiques, économiques, sociaux ou encore culturels ayant un rôle et une responsabilité fondamentale dans un monde caractérisé par une mondialisation technologique galopante, les médias semblent évidemment soumis au droit de la concurrence. Pourtant, cette évidence n’en constitue pas une lorsque l’on analyse profondément la question. Les médias sont-ils vraiment soumis au droit de la concurrence ? Parallèlement est-il possible de dire qu’on se dirige résolument vers un droit de la concurrence propre aux médias ? Les relations entre les médias et le droit de la concurrence ont connus plusieurs épisodes en Mauritanie. Tout d’abord, l’épisode initiale au fil duquel le rapport entre les médias et le droit de la concurrence fut fade et monotone puisque l’Etat monopolisait tous les médias. Ensuite, au cours du deuxième épisode, il y a eu une ouverture partielle et partiale des médias à la concurrence et ainsi au droit de la concurrence. Enfin, le troisième et dernier épisode est celui inauguré par l’abolition totale du monopole. Dés lors, ce travail consiste à montrer et démontrer la soumission des médias au droit de la concurrence.

O presente trabalho busca analisar o exercício abusivo do direito de propriedade intelectual como infração à ordem econômica no direito brasileiro. A importância desse estudo se dá pela ausência de parâmetros e etapas de análise definidos para tais situações no Brasil, diferentemente do que ocorre em outros países, como Estados Unidos e os países membros da União Europeia, além da relevância da inovação para a sociedade e para o país. O caso brasileiro das autopeças, em curso perante o Conselho Administrativo de Defesa Econômica - Cade situa o estudo. A conclusão que se busca é a eleição de parâmetros e etapas que devem ser observados pela autoridade de concorrência brasileira na análise de um exercício abusivo de direito de propriedade intelectual como infração à ordem econômica e, especificamente, se tais parâmetros foram observados e investigados no caso das autopeças, considerando o exposto no último parecer opinativo do Cade. Para tanto, estuda-se a identificação de uma infração à ordem econômica e sua particularidade quanto a um direito de propriedade intelectual, tarefa bastante sensível, tendo em vista que é inerente ao direito de propriedade intelectual limitar a atuação de terceiros, enquanto o direito da concorrência evita a limitação à concorrência. Assim, verifica-se que esta exclusão de terceiros em relação ao objeto tutelado pelo direito de propriedade intelectual não significa uma limitação à livre iniciativa e, consequentemente, à livre concorrência, princípios visados pelo direito da concorrência, de tal forma que um direito de propriedade intelectual devidamente exercido não deve ser objeto de preocupação do direito da concorrência. Nesse sentido, estuda-se a função que determina a criação e o devido exercício de um direito de propriedade intelectual, para que seja verificado seu abuso, pressuposto da caracterização de uma infração ao direito da concorrência pelo exercício de um direito de propriedade intelectual. A decisão no caso europeu Microsoft auxilia este estudo tendo em vista que a autoridade de concorrência europeia elenca e comprova este e outros requisitos que devem ser investigados para a caracterização de uma infração à ordem econômica no direito brasileiro.

Le secteur des assurances est protéiforme : il comprend plusieurs opérateurs dont l’intégration dans le paysage économique et juridique s’est accentuée ces dernières années et ne cesse de s’imposer. Les compagnies d'assurance déploient elles-mêmes des activités d’assurance multiples. Depuis les années cinquante les différents régimes d’assurances maladie, vieillesse, chômage – obligatoires, complémentaires – sont exploités par certains organismes assureurs (mutuelles et institutions de prévoyance). Ces organismes développent leurs activités sur des marchés dont le caractère économique n’est pas toujours évident. Si les assurances vie par exemple, ne soulèvent guère de difficulté d’insertion sur un marché concurrentiel, peut-on en revanche considérer que les régimes complémentaires et légaux d’assurance maladie opèrent sur un marché économique ? Cette question conduit à s’interroger sur la soumission du secteur des assurances au droit de la concurrence et son éventuelle unicité de régime. Deux points sont étudiés, en premier lieu, il s’agit de confronter le secteur des assurances à la vision extensive des autorités européenne et nationale sur les critères d’applicabilité du droit de la concurrence. Cette approche est vérifiée auprès de tous les opérateurs proposant des produits et services qualifiés d'assurance. En second lieu, sont examinées l'application du droit de la concurrence au secteur des assurances et leurs exemptions spécifiques. Cette étude prend en compte l’ensemble du droit de la concurrence : pratiques anticoncurrentielles, droit des concentrations économiques et aides d’État. Elle s’appuie essentiellement sur le droit européen et français de la concurrence.

4054 Sayılı Rekabetin Korunması Hakkında Kanun'un uygulanması bakımından teşebbüs kavramının merkezi önemi haiz olması, ilk olarak teşebbüsün tespit edilmesini gerektirmektedir. Ancak kendiliğinden gelişmiş birtakım fiili durumlar ve yasal düzenlemeler, teşebbüsün tespit edilmesini giderek zorlaştırmaktadır. Teşebbüsün sınırlarını belirleme amacı taşıyan bu tespit rekabet hukukunda "ekonomik bütünlük" kavramıyla ifade edilmektedir. Fiili durumlar ve yasal düzenlemelerin sebep olduğu karmaşa dolayısıyla teşebbüsün tespit edilmesinde merkezi öneme sahip ekonomik bütünlük kavramının belirlenebilmesi noktasında uygulamada çeşitli zorluklar ile karşılaşıldığını söylemek mümkündür. RKHK bağlamında rekabet ihlaline yönelik işlemlere taraf teşkil eden unsurlar teşebbüsler olduğundan ilgili teşebbüslerin ve dolayısıyla bu teşebbüslerin sınırlarının belirlenmesi gerektiğinden, ekonomik bütünlük burada büyük öneme sahip bir kavram olarak karşımıza çıkmaktadır. Bu nedenle çalışmanın amacı ekonomik bütünlüğün ne şekilde tespit edileceği sorununun ele alınması ve çözüme yönelik öneriler sunulmasına yöneliktir. For the implementation of the Code on the Protection of Competition No. 4054, the fact that the concept of enterprise has a central importance requires that the enterprise be determined first. However, some spontaneously developed actual situations and legal regulations make it increasingly difficult to identify the enterprise. This determination, which aims to determine the boundaries of the enterprise, is expressed in the concept of "economic entity" in competition law. It is possible to say that various difficulties have been encountered in the practice of determining the concept of economic entity with the central presumption when the enterprise is identified due to the actual situation and the complexity caused by the legal regulations. In the context of the Code on the Protection of Competition No. 4054, the economic entity is a concept with great precaution here, since the elements that are the parties to the competition breach are enterprises, and the boundaries of the related undertakings and therefore of these undertakings must be specified. For this reason, the aim of the study is to examine the problem of how economic entity will be determined and to propose suggestions for solution.

Healthcare markets have started being created in Europe. Indeed, some European countries, such as the UK and the Netherlands, have started adopting the choice and competition model for healthcare delivery. Taking as a starting point that as health systems in Europe move towards market driven healthcare delivery, the application of competition law in these systems will increase, the goal of this doctoral thesis is (a) to identify some of the competition problems that may be raised in light of the reality that especially in hospital and medical markets the pursuit of competition and the pursuit of essential dimensions of healthcare quality may inevitably clash (b) to demonstrate that competition authorities would be unable to address some of these competition problems if they did not pose and address a fundamental question first: how should we define and assess quality in healthcare? How should we take healthcare quality into account in the context of a competition analysis? In delving into these questions, this doctoral thesis explores how the notion of healthcare quality is defined from antitrust, health policy and medicine perspectives and identifies three different models under which competition authorities may actually assess how a specific anticompetitive agreement or hospital merger may impact on healthcare quality. These are: (a) the US market approach under which competition authorities may define quality in healthcare strictly as choice, variety, competition and innovation (b) the European approach under which competition authorities may extend the notion of consumer welfare in healthcare so that it encompasses not only the notions of efficiency, choice and innovation, but also the wider objectives and values European health systems in fact pursue (c) the UK model under which competition authorities may cooperate with health authorities when they assess the impact of a specific transaction on healthcare quality. The thesis identifies the main merits and shortcomings of these models and emphasizes that what is crucial for the adoption of a holistic approach to healthcare quality is not only the model under which healthcare quality is actually integrated into a competition analysis but also competition authorities’ commitment to protect all dimensions of this notion.
